Terms of Service

In case of divergence between language versions, the Portuguese version prevails.

1. Identification

The EterShield service is made available by Eter Growth, Lda., a company incorporated under Portuguese law (“Eter Growth”, “we” or “our”), identified as follows:

2. Purpose

EterShield is a SaaS platform for compliance, risk, and information security management (the “Service”). By creating an account, the user (the “Customer”) accepts these Terms in full. If the Customer acts on behalf of an organization, it represents that it has the authority to bind that organization.

3. Account and Access

• The Customer is responsible for keeping access credentials confidential.
• Each account is intended for a single organization (tenant). Sharing credentials between distinct organizations is not permitted.
• The Customer must notify us immediately in the event of unauthorized access to the account.
• The account may be suspended if activity in violation of these Terms is detected.

4. Free Trial

Registration grants a 14-day free trial, with no credit card required. The trial allows evaluation of every platform feature, subject to usage limits: 1 entity, 3 frameworks, 3 assessments, 5 users and 20 AI calls. Once the trial ends, the Service is suspended unless a paid plan is subscribed; data remains exportable within the periods set out in the Privacy Policy.

5. Plans and Payment

• Starter (€89/month): 1 entity, 2 frameworks, 5 users, 5 assessments.
• Professional (€249/month): 1 entity, all frameworks, 20 users, unlimited assessments, 500 AI calls/month, SAML SSO.
• Enterprise (€799/month): 5 entities, unlimited users, unlimited AI, 99.5% SLA.

Some frameworks are offered as add-ons, priced separately and enabled on request, regardless of the subscribed plan. All amounts shown are exclusive of VAT, which is added at the applicable statutory rate.

Payments are processed by Stripe, Inc. The subscription renews automatically for the agreed period. The Customer may cancel at any time in the billing portal; cancellation takes effect at the end of the current paid period. No refunds are issued for partial periods, except where required by applicable law.

6. Customer Data

Data entered into the platform by the Customer (“Customer Data”) is the exclusive property of the Customer. Eter Growth acts as a processor with respect to that data, under the terms of the Data Processing Agreement (DPA) available upon request. Eter Growth does not sell, transfer, or use Customer Data for its own purposes, except to provide the Service.

7. Intellectual Property

The EterShield platform, including code, design, trademarks, and documentation, is the exclusive property of Eter Growth and is protected by copyright and other applicable legislation. The Customer receives a limited, non-exclusive, and non-transferable license to use the Service for the duration of the subscription.

8. Acceptable Use

The Customer agrees not to use the Service for:

• Unlawful activities or activities that infringe the rights of third parties;
• Attempts to gain unauthorized access to systems or data of other tenants;
• Introduction of malware, malicious code, or abusive content;
• Resale or sublicensing of the Service without prior written authorization.

9. Availability and SLA

Eter Growth undertakes to make the Service available with a target uptime of 99.5% monthly on paid plans, excluding scheduled maintenance announced 24 hours in advance. Enterprise plans have a dedicated SLA negotiated contractually. The trial does not include availability guarantees.

10. Limitation of Liability

Except where mandatory law provides otherwise, Eter Growth's total liability to the Customer for any damages arising from use of the Service is limited to the amount paid in the last 3 monthly billing periods. Eter Growth is not liable for indirect damages, loss of profits, or data loss resulting from the Customer's actions.

11. Changes to the Terms

Eter Growth reserves the right to amend these Terms. Material changes will be communicated by email 30 days in advance. Continued use of the Service after that date constitutes acceptance of the new Terms.

12. Governing Law and Jurisdiction

These Terms are governed by Portuguese law. Any dispute arising from these Terms shall be submitted to the courts of the district of Aveiro, to the express exclusion of any other, without prejudice to mandatory jurisdiction rules applicable to consumers.
